These Terms and Conditions ("Terms", "Agreement") govern your access to and use of WaveAssist.io ("WaveAssist", "Service", "Platform", "we", "us", or "our"), a platform for creating, customizing, deploying, and managing AI assistants and agents. By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Agreement to Terms

By creating an account, accessing, or using WaveAssist.io, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users, including visitors, registered users, and customers using our free forever plan or custom build program. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

WaveAssist provides a platform for:

• Creating, customizing, and deploying AI assistants and agents
• One-click deployment of pre-built AI assistant templates
• Building custom AI workflows using Python and various AI models (GPT-4.1, Claude 4, Gemini 2.5, Grok 4)
• Integrating with third-party services (GitHub, Slack, CRMs, APIs, databases)
• Scheduling automation (cron jobs, hourly, per-second executions)
• Hosting and scaling AI assistant executions in dedicated Docker environments
• Real-time monitoring, logging, and package management
• Custom build program for fully owned, personalized AI agents

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Registration

To use certain features of the Service, you must:

• Create an account with accurate, complete, and current information
• Maintain and update your account information as necessary
• Safeguard your account credentials and authentication tokens
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breaches
• Be at least 18 years old or have parental consent

You may not share your account credentials with others or use another user's account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal, harmful, or fraudulent activities
• Violate any applicable laws, regulations, or third-party rights
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service, servers, or networks
• Use the Service to generate content that is defamatory, discriminatory, or violates intellectual property rights
• Reverse engineer, decompile, or attempt to extract source code (except for custom build clients who own their code)
• Exceed reasonable usage limits or abuse shared hosting resources
• Use the Service to compete with WaveAssist or resell access without authorization

Violation of this Acceptable Use Policy may result in immediate termination of your account and access to the Service.

5. Pricing, Billing, and Payment

5.1 Free Forever Plan

Our free forever plan includes:

• Unlimited runs and access to all WaveAssist assistants
• $2 in starter credits for AI usage
• Shared server environment and hosting
• Email and community support
• Pay-as-you-go pricing for AI usage after starter credits expire

You are responsible for all AI usage costs incurred after your starter credits are exhausted. AI usage is billed according to the rates of the AI model providers we use.

5.2 Custom Build Program

Custom build clients receive:

• Fully customized AI agent delivered within 7 days
• Complete code ownership and deliverables (source code, documentation, video walkthroughs)
• 2 years of private maintenance and dedicated WaveAssist server hosting
• Priority support and $50 OpenRouter credits included

Custom build pricing is determined on a case-by-case basis. Payment terms, refund policies, and delivery timelines are specified in individual custom build agreements. Refunds are available within 7 days of delivery if you are not satisfied, subject to the terms of your custom build agreement.

5.3 Payment Terms

• All fees are non-refundable except as specified in your plan or custom build agreement
• You authorize us to charge your payment method for all fees and usage charges
• Failure to pay may result in suspension or termination of your account
• Prices are subject to change with notice, but existing subscriptions are protected

6. Intellectual Property Rights

6.1 Your Content

You retain ownership of all content, data, workflows, and configurations you create using the Service ("Your Content"). You grant WaveAssist a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely to provide, improve, and operate the Service. For custom build clients, you own the complete source code and deliverables, and we do not claim ownership of your proprietary code.

6.2 WaveAssist Property

The Service, including its design, features, functionality, templates, and underlying technology, is owned by WaveAssist and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary materials without express written permission.

7. Third-Party Integrations and Services

Our Service integrates with various third-party services (GitHub, Slack, CRMs, payment processors, AI model providers, APIs). Your use of these integrations is subject to the terms and conditions of those third parties. We are not responsible for the availability, accuracy, or practices of third-party services. You are responsible for maintaining valid credentials and authorizations for integrated services.

8. AI Model Usage and Limitations

Our Service utilizes various AI models (GPT-4.1, Claude 4, Gemini 2.5, Grok 4) provided by third-party providers. We do not guarantee the accuracy, reliability, or suitability of AI outputs. AI models may produce errors, biases, or inappropriate content. You are responsible for reviewing, validating, and using AI outputs appropriately. We are not liable for any consequences resulting from your use of AI outputs.

9. Service Availability and Modifications

While we strive to maintain high availability, we do not guarantee uninterrupted or error-free service. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any losses resulting from service interruptions or modifications.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. You are responsible for ensuring that any data you process through the Service complies with applicable data protection laws and regulations.

11. Termination

Either party may terminate this Agreement at any time:

• You may terminate your account at any time through your account settings
• We may suspend or terminate your account immediately, without prior notice, if you violate these Terms
• We may terminate free accounts that are inactive for extended periods
• Upon termination, your right to use the Service ceases immediately

Upon termination, we may delete your account data, subject to our data retention policies and legal obligations. Custom build clients retain ownership of their code and deliverables regardless of termination.

12. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVEASSIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless WaveAssist, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the appropriate courts, as determined by applicable law.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

16. Miscellaneous

• These Terms constitute the entire agreement between you and WaveAssist
• If any provision is found unenforceable, the remaining provisions shall remain in effect
• Our failure to enforce any right does not constitute a waiver
• You may not assign these Terms without our written consent; we may assign these Terms freely
• These Terms do not create any agency, partnership, or joint venture relationship
